Our policies and practices are intended to avoid misunderstandings and to provide reasonable protection for us. We urge you to carefully consider the following terms and conditions before submitting your idea to us because you must agree with these terms and conditions to submit your idea.
Schneider Electric (and its affiliates, hereinafter “the Company”) does not wish to receive or maintain any information "in Confidence." Therefore, by submitting your information, you acknowledge and agree that your submission to the Company does not create a confidential, fiduciary, or other special relationship between you and the Company. The Company has the right, but not the obligation, to use your name, likeness, or any other information about you, in connection with the use of the submitted information and material.
You warrant that your submission of materials and information to the Company will not violate the rights of any third party or any local, state, federal, or foreign law, including patent rights, copyrights, trademark rights, trade secret rights, confidentiality agreements, any right of publicity, right of privacy, or any other right.
You warrant that your submission does not contain any material or information (including images or sounds) that is not unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, vulgar, profane, sexually explicit, obscene, racially or ethnically offensive or otherwise objectionable.
You warrant that your submission does not contain any material or information (including Internet links, email addresses, images, or sounds,) that constitutes advertising or promotion, junk mail, or "spamming," chain letters.
You warrant that your submission does not contain any content (including Internet links, files, software, or images) that contains software viruses, Trojan horses, worms, time bombs, cancelbots, or any other computer code or files that are designed to disrupt, damage, or limit the functioning of any software or hardware.
You warrant that your submission does not contain content (including text, links, communications, software, images, sounds, data, or other information) that will intentionally interfere with the operation of the Company’s network or websites.
You warrant that your submission does not suggest or encourage any illegal activity under any local, state, federal, or foreign law.
The Company agrees that you are not granting any patent rights to the Company by submitting material to the Company. However, in your submission, you must identify any relevant patents or patent applications that are associated with your submitted materials. Any agreement between the submitter and the Company regarding the submitter’s patent rights, and any compensation for such patent rights, shall be completed in a separate agreement. We urge you to seek guidance from a patent attorney or patent agent as to the desirability of seeking patent protection for your idea and the fair market value of your patent or patent application.
You acknowledge that the Company may already be aware of the idea that you are submitting.
You agree that the Company reserves the right to contest the validity, infringement, or enforceability of any patent, including your own.
You agree that with the exception of a claim for patent infringement, the Company shall have the unrestricted right to use and disclose, at no cost, any submitted materials and information.
By making a submission, you acknowledge and agree that the Company and its designees may create on their own or obtain many submissions that may be similar or identical to the materials you submit. You hereby waive any and all claims you may have had, may have, and/or may have in the future, that the materials accepted, reviewed and/or used by the Company and its designees may be similar to your Materials.
Any prior negotiations or agreements are merged into and superseded by these terms, which may not be modified or waived except in writing signed by a company officer or the company's Chief Patent Counsel.
